1. Definitions

For the purposes of these Terms of Service, the following definitions apply:

• Platform: The website, software application, dashboards, and online workspace hosted at inkvisel.com and related subdomains.
• Service: The digital compilations, idea validation tools, outline generation engines, and AI-assisted writing modules provided by InkVisel.
• User: Any individual, writer, self-publisher, or organization who accesses the Platform or registers an Account.
• Account: The secure, authenticated profile created by a User to log in and access Platform features.
• Content: Any prompts, input texts, voice snapshot guidelines, uploaded reference documents, or materials submitted by a User.
• Generated Content: The text drafts, outlines, compiled book chapters, planner grids, and promotional copy generated by the Platform's AI processors.
• Subscription: The paid commercial service plan selected by a User to access premium tools and credit limits.
• Credits: The digital utility balances used on the Platform to execute co-writing operations, validating ideas, and formatting exports.

2. Account Access & License

To use our Platform, you must meet our eligibility requirements and secure your account access:

• Eligibility: You represent that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess the full legal authority to enter into these Terms.
• Account Registration: You must register an account by providing accurate, current, and complete details. You agree to update this information to maintain its accuracy.
• Account Security: You are solely responsible for safeguarding your login credentials, password, and security tokens. You must immediately notify us of any unauthorized use or security breaches.
• Personal Use & Restrictions: Accounts are granted for personal or authorized business use only. You may not share your account credentials, login links, or security tokens with third parties.
• Limited License Grant: Subject to compliance with these Terms, InkVisel grants you a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to access and use the Platform and Services for your personal or internal business operations.

The Platform provides assistive AI tools to accelerate content ideation, outline structuring, and draft compilation. Please note the following disclosures:

• Independent Review Obligation: AI models may occasionally generate inaccurate facts, hallucinated citations, or outdated information. You must review, fact-check, and edit all AI-generated content before public release.
• No Professional Advice: Content generated by the Platform does not constitute legal, medical, financial, tax, or professional advice and should not be relied upon as such.
• No Warranty of Exclusivity: Due to the probabilistic nature of generative machine learning, similar prompts submitted by different users across AI models may yield similar stylistic outputs.
• User Liability for Final Published Works: You are solely responsible for verifying that your final published works do not infringe upon any third-party copyrights, trademarks, privacy rights, or trade secrets.

5. Acceptable Use Policy

In compliance with the India Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and global acceptable use standards, you agree not to use the Platform to host, display, upload, modify, publish, transmit, or share any information that:

• Belongs to another person and to which you do not have any right.
• Is harmful, harassing, defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, hateful, or racially or ethnically objectionable.
• Involves Child Sexual Abuse Material (CSAM) or any exploitation of minors.
• Infringes any patent, trademark, copyright, or other proprietary rights.
• Deceives or misleads recipients about the origin of messages or communicates intentionally false or misleading information.
• Distributes malware, software viruses, Trojan horses, worms, or code designed to disrupt or limit computer resources.
• Threatens the unity, integrity, defense, security, or sovereignty of India or friendly relations with foreign states.
• Engages in unauthorized scraping, automated crawling, or reverse-engineering of Platform code or APIs.
• Attempts to circumvent subscription limits, rate limits, credit ledgers, or edge security firewalls.

6. Subscriptions, Credits & Billing Terms

Platform access is structured under transparent subscription tiers and credit allocations:

• Subscription Plans: Paid tiers (Starter, Pro, and Publisher) grant monthly credit allowances, unlocked product formats, and premium studio capabilities.
• Credit Ledger Architecture: Credits operate under an atomic two-bucket ledger: (i) Subscription Credits refill on your monthly billing anniversary date; (ii) Purchased Credits (from top-up packs) remain permanently on your account until consumed and do not expire on monthly resets.
• Merchant of Record: All subscription billing, credit purchases, and global invoicing are processed by our Merchant of Record, Dodo Payments.
• Automatic Renewal: Active recurring subscriptions automatically renew at the end of each monthly or yearly billing period until cancelled by the user.
• Cancellation: You may cancel your subscription at any time via your account billing portal. Cancellation disables future renewals; active benefits and remaining credits remain accessible until the end of the current paid billing cycle.
• Refund Policy: All refunds and technical credit adjustments are governed strictly by our Refund & Cancellation Policy.

7. Account Termination & Suspension

InkVisel reserves the right to suspend or terminate accounts that violate these Terms, engage in fraud, abuse platform credits, or pose security risks to our infrastructure. Users may request voluntary account closure at any time through their settings panel, initiating our 14-day recovery grace period prior to permanent data deletion.

8. Service Availability & Modifications

We endeavor to maintain high platform uptime and reliability. However, we do not guarantee uninterrupted, error-free service availability. We may periodically perform scheduled maintenance, update AI model configurations, adjust credit costs, or deploy feature enhancements.

9. Third-Party Services

InkVisel integrates with third-party providers for AI model routing (OpenRouter), payment processing (Dodo Payments), and cloud infrastructure. We are not liable for outages, performance changes, or service interruptions caused by third-party upstream providers.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall InkVisel, its founders, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, or commercial marketplace rejections. In all cases, our total aggregate liability arising out of or related to these Terms shall not exceed the amount paid by you to InkVisel during the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless InkVisel and its operators from and against any claims, damages, liabilities, costs, and legal fees arising out of your violation of these Terms, your misuse of the Platform, your published digital products, or your infringement of any third-party intellectual property or privacy rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India. Nothing in these Terms restricts any non-waivable statutory consumer protections available in your resident jurisdiction.

13. Copyright & Notice-and-Takedown Procedure

InkVisel respects intellectual property rights and complies with copyright safe harbor requirements under the India Information Technology Act, 2000 and the Digital Millennium Copyright Act (DMCA). If you believe that content hosted on the Platform infringes your copyright, please send a written notification to our Grievance Officer with: (i) Identification of the copyrighted work; (ii) Identification of the infringing material with URL; (iii) Your contact information; and (iv) A statement of good faith belief.

14. Changes to these Terms

We may update these Terms periodically to reflect product updates or legal developments. When changes are posted, we will revise the “Effective Date” and “Last Updated” indicators. Continued use of the Platform after the effective date of updated Terms constitutes your binding agreement to the modifications.
